Public Offer Agreement

This Public Offer Agreement, in accordance with Articles 633 and 641 of the Civil Code of Ukraine and the Law of Ukraine "On Electronic Commerce", is an official offer by ArtScale (the "Provider") to an unlimited number of persons to enter into a service agreement for the ArtScale online service on the terms set out below. Registration on artscale.ai and/or payment for services constitutes acceptance of this offer. By accepting, the Customer confirms they have read and fully accept this agreement, the Privacy Policy, and the Refund Policy.

1. Subject of the agreement

The Provider grants the Customer access to the ArtScale online service — a tool for automatic generation of marketing images and product cards using artificial intelligence. Services are paid for with internal accounting units — credits, which are debited from the Customer’s balance for each completed generation.

2. Service prices and payment

Current prices for credit packages and for each service, in Ukrainian hryvnia, are published on the Credits page of the site and form an integral part of this agreement. Payment is a one-time card payment via the WayForPay payment service. There are no subscriptions or automatic charges. Payment is considered made when funds are credited to the Provider’s account.

3. Service delivery

Credits are added to the Customer’s balance automatically immediately after the payment is confirmed by the payment system. The service is digital: generated images become available in the Customer’s account immediately after generation completes (usually within one minute). No physical delivery is involved. Purchased credits do not expire.

4. Rights and obligations of the parties

The Provider undertakes to keep the service operational and to credit paid-for credits. The Customer undertakes to submit for generation only materials they have the right to use, and not to violate the laws of Ukraine or the rights of third parties. The Provider may refuse service in case of a breach of these terms.

5. Refunds

Refunds are handled in accordance with the Refund Policy published on the site. Payments for credits that have already been used are non-refundable; questions about unused credits are resolved by contacting support@artscale.ai.

6. Intellectual property

Property rights to images generated by the Customer in the service belong to the Customer. Exclusive rights to the software, design, trade designations, and technologies of the service belong to the Provider and are not transferred under this agreement.

7. Liability

The service is provided "as is". The Provider is not liable for inability to use the service due to reasons beyond its control, nor for the Customer’s use of the generated images. The Provider’s aggregate liability is limited to the amount actually paid by the Customer during the last six months.

8. Personal data

The Customer’s personal data is processed in accordance with the Privacy Policy published on the site and the Law of Ukraine "On Personal Data Protection".

9. Term and changes

The agreement enters into force upon acceptance and remains in effect until the parties fulfil their obligations. The Provider may amend the terms of this offer; a new version takes effect upon publication on the site and does not apply to services paid for before its publication.
